Mall Service Agreement

I. General Provisions

  • This Agreement is formulated to standardize the service conduct of [the Mall] (hereinafter referred to as "the Mall"), protect the legitimate rights and interests of users, and clarify the rights and obligations between the Mall and users.
  • This Agreement applies to all users who register and use the Mall’s services (hereinafter referred to as "Users"). When a User registers and uses the Mall’s services, it shall be deemed that the User has fully read, understood, and agreed to all contents of this Agreement.
  • When using the Mall’s services, Users shall comply with national laws, regulations, departmental rules, and relevant policies, as well as all provisions of this Agreement; the Mall shall provide services to Users in accordance with the provisions of this Agreement and relevant laws and regulations.

II. User Registration and Account Management

  • When registering, Users shall provide true, accurate, and complete personal information, including but not limited to name, mobile phone number, and email address. If the information provided by a User changes, the User shall promptly update it on the Mall. The User shall bear all consequences caused by providing false information or failing to update information in a timely manner.
  • After successful registration, the User will obtain an account and corresponding password for the Mall. The User shall properly keep the account and password, and bear responsibility for all operations conducted through the account and the resulting consequences. If the User discovers that the account has been stolen or there are security risks, the User shall immediately notify the Mall and take corresponding security measures.
  • The Mall shall have the obligation to keep the User’s account information confidential and shall not disclose it to any third party without the User’s permission, unless otherwise stipulated by laws and regulations or required by relevant authorities.
  • Users shall not transfer, lease, lend their accounts, or use the accounts for any illegal activities. In case of violation of this provision, the Mall shall have the right to suspend or terminate the use of the account and pursue the User’s relevant responsibilities.

III. Commodity Transactions

  • The commodity information displayed on the Mall (including but not limited to price, specifications, place of origin, and purpose) is for User reference only. Users shall carefully check the commodity information before placing an order. The Mall will make every effort to coordinate and resolve problems caused by incorrect display of commodity information, but shall not bear corresponding liabilities.
  • After a User places an order through the Mall, it shall be deemed that an order has been generated. The Mall will confirm the order within a reasonable time after receiving it. If the order information is incorrect or the commodity is out of stock, the Mall shall have the right to refuse to confirm the order and promptly notify the User.
  • Users shall promptly pay the order amount in accordance with the payment methods specified by the Mall. If the User fails to make payment on time, the order will be automatically canceled.
  • The Mall will deliver goods in accordance with the order information and the delivery address specified by the User. The User shall carefully check whether the quantity, specifications, and appearance of the commodities are consistent with the order when receiving the commodities. If there is any objection, the User shall immediately raise it to the delivery staff and promptly notify the Mall. If the User raises an objection after signing for the commodities, the Mall will handle it according to the specific circumstances.

IV. After-Sales Service

  • If a User needs to return or exchange commodities, the User shall meet the return and exchange conditions specified by the Mall and submit an application within the specified time limit. The returned or exchanged commodities shall remain intact (without affecting secondary sales) and be accompanied by relevant accessories, instruction manuals, warranty cards, etc.
  • For commodities that meet the return and exchange conditions, the User shall go through the return and exchange procedures in accordance with the process specified by the Mall. After receiving the returned commodities and verifying their qualification, the Mall will handle the refund or exchange procedures for the User within a reasonable time.
  • If a commodity has quality problems, the User may file a claim with the Mall with relevant certificates. The Mall will handle the matter in accordance with relevant national laws and regulations and the Mall’s provisions based on the specific circumstances of the commodity quality problem.

V. Privacy Protection

  • The Mall attaches importance to the protection of Users’ privacy and will collect, use, store, and protect Users’ personal information in strict accordance with relevant national laws and regulations and the provisions of this Agreement.
  • The Mall collects Users’ personal information only for the purpose of providing services, including but not limited to completing User registration, processing orders, and providing after-sales services. Without the User’s permission, the Mall shall not disclose the User’s personal information to any third party, unless otherwise stipulated by laws and regulations.
  • The Mall will take reasonable security measures to protect the security of Users’ personal information and prevent information leakage, loss, or tampering. However, the Mall shall not be liable for the leakage of Users’ personal information caused by force majeure, hacker attacks, or other reasons not attributable to the Mall.

VI. Liability for Breach of Contract

  • If a User violates the provisions of this Agreement, the Mall shall have the right to take measures such as warning, suspending services, and terminating the account according to the severity of the circumstances, and require the User to bear corresponding compensation liabilities.
  • If the Mall violates the provisions of this Agreement and causes losses to the User, the Mall shall bear corresponding compensation liabilities. However, the Mall shall not be liable for losses caused by force majeure, the User’s own reasons, or other similar factors.

VII. Modification and Termination of the Agreement

  • The Mall shall have the right to modify or supplement this Agreement in accordance with business development and changes in laws and regulations. The modified Agreement will be published on the Mall’s website and shall take effect after the publication period expires. If a User has objections to the modified Agreement, the User shall have the right to stop using the Mall’s services; if the User continues to use the services, it shall be deemed that the User agrees to the modified Agreement.
  • Unless otherwise stipulated in this Agreement, if either party needs to terminate this Agreement, it shall notify the other party in advance and go through the relevant procedures in accordance with relevant provisions.

VIII. Dispute Resolution

  • Any dispute arising from or in connection with this Agreement shall first be resolved by the parties through friendly negotiation; if negotiation fails, either party shall have the right to file a lawsuit with the people’s court with jurisdiction at the place where the Mall is located.

IX. Other Provisions

  • This Agreement shall take effect from the date on which the User successfully registers and uses the Mall’s services.
  • If any clause of this Agreement is determined to be invalid or unenforceable, it shall not affect the validity of other clauses.
  • The Mall shall have the final right to interpret this Agreement. If Users have any questions, they may consult the Mall through the contact information provided by the Mall.
